Terms of Service
Section 01
Your Relationship With Us
Welcome to Memspire (the "Platform"). These Terms of Service ("Terms") govern the relationship between you and Memspire, Inc. ("Company," "we," or "us") and set forth the terms by which you may access and use the Platform and our related services, applications, and content (collectively, the "Services").
The Platform includes the Memspire MCP Connector (available at mcp.memspire.com), related APIs, SDKs, the Memspire web dashboard, and any other Memspire products or services now existing or hereafter developed. The Memspire platform provides persistent AI memory, contextual data storage, and cross-session recall services that operate as a Model Context Protocol (MCP) connector between users and compatible AI systems.
Memspire, Inc. is incorporated in the State of Missouri (Charter No. CC001412118). These Terms, and all matters arising out of or relating to them, are governed by the laws of the State of Missouri.
The Services are intended for individuals 13 years of age and older. If you are under 18, you may only use the Services with the consent of a parent or legal guardian.

Accepting These Terms
By accessing or using our Services, you confirm that you are legally able to enter into a binding contract with the Company, that you accept these Terms, and that you agree to comply with them. Your use is also subject to our Privacy Policy (effective March 26, 2026), incorporated herein by reference.
If you are accessing or using the Services on behalf of a business or entity: (a) "you" includes that entity; (b) you represent you are authorized to bind the entity; and (c) the entity is responsible for all access and use under your account.

Changes to These Terms
We may amend or update these Terms from time to time. We will use commercially reasonable efforts to notify you of material changes. The "Last Updated" date at the top reflects the effective date. Continued use constitutes acceptance.
Section 04
Your Account
To access certain Services, you must create an account with true, accurate, and current information. You are responsible for maintaining the confidentiality of your credentials. Contact legal@memspire.com immediately if you suspect unauthorized access. You are solely responsible for all activity under your account. We may suspend or terminate accounts for violations of these Terms, security issues, law enforcement requests, or extended inactivity.
Section 05
Your Access to and Use of Our Services
You may not: copy, reverse engineer, decompile, or create derivative works from the Services; distribute or sell access without written consent; interfere with or disrupt the Services; use automated bots or scrapers; transmit malware or harmful code; infringe third-party rights; harass or harm other users; or upload discriminatory, criminal, or threatening content.

Service Plans, Billing, and Cancellation
Some Services are free ("Free Services"); others require payment ("Premium Services"). Premium Services may be offered on fixed-term or automatically renewing subscription basis. All fees are in U.S. dollars. You may cancel at any time through account settings or by contacting legal@memspire.com. Upon cancellation, access continues through the end of the current billing period.
Section 07
Data Storage and Memory Services
Memspire stores Memory Data (conversation logs, documents, context objects) verbatim as submitted. We make commercially reasonable efforts to maintain availability and integrity but do not guarantee permanent availability. You are responsible for maintaining independent backups of critical data. Upon account deletion, Memory Data may be permanently removed.

Intellectual Property Rights
All intellectual property rights in the Services are owned by Memspire, Inc. or our licensors. MEMSPIRE®, LIGHT STAMP™, and INFORNOMICS™ are trademarks of Memspire, Inc. You may not use these marks without prior written consent.
Section 09
User Content and Data
"User Content" means any data, text, documents, conversation logs, context objects, or files you upload or submit. You retain ownership of your User Content. By submitting, you grant Memspire a non-exclusive, worldwide, royalty-free license to store, process, reproduce, and display your User Content solely to provide the Services. This license terminates when you delete your content or account.
You represent that you own or have rights to your User Content, that it does not infringe third-party rights, and that it complies with applicable law.
The Platform operates as an MCP connector that may interact with third-party AI systems including Anthropic Claude. We are not responsible for the outputs or data practices of any third-party AI system. Feedback you provide is licensed to us on an irrevocable, royalty-free, worldwide basis for any purpose.

Term and Termination
These Terms are effective from your first access and remain in effect until terminated. We may suspend or terminate access at any time. Sections 8, 9, 10, 11, 12, and 14 survive termination.
Section 14
Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Missouri. Disputes shall be submitted to binding arbitration in St. Louis, Missouri under AAA Commercial Arbitration Rules with a single arbitrator. Equitable relief may be sought in Missouri courts.
Section 15
General Provisions
These Terms constitute the entire agreement. Our failure to enforce any provision is not a waiver. If any provision is found unenforceable, it will be modified minimally and the remainder shall continue in force. You may not assign your rights without our consent. Legal notices to Memspire, Inc. must be sent to legal@memspire.com.
